Description

China’s merger and acquisition (M&A) market is walking out of the shadows of COVID-19, with the domestic M&A activities surging to the highest level since early 2018. Industry players planning to expand their businesses through strategic acquisitions in China as well as investors (e.g., PE, VC) looking to enrich their portfolios with promising Chinese companies are preparing themselves to seize the opportunities.

Speakers from PwC and Tiang & Partners* will highlight the key tax and legal considerations, coupled with real-world examples, that both strategic and financial buyers looking to invest in China should be aware of throughout the life cycle of a deal, including:

  • Legal landscape for foreign investment
  • Legal form and location of investment platform / holding company
  • Investment and acquisition structure and due diligence
  • Tax planning opportunities during the holding period
  • Exit planning
  • SPA drafting and negotiation

*Tiang & Partners is an independent Hong Kong law firm with close working relationship with PwC.
