In recent years, businesses in Hong Kong have been facing significant challenges and exposing to business risks, uncertainties and disruptions arising from the global economic distress brought along by the continuous pandemic outbreak. Apart from that, the more stringent and fast-changing regulatory compliance requirements together with the imminent enactment of the regime treating certain foreign-sourced income as chargeable to tax in Hong Kong (FSIE Regime) may also impose regulatory risks and tax obligations against businesses. All these factors are likely to prompt business in Hong Kong to consider and plan ahead an intra-group restructuring in order to mitigate risk and tax obligations, and at the same time achieve higher cost efficiency. Group restructuring or streamlining is therefore one of key factors and solutions to be considered when tax professionals formulate tax planning proposals. In this webinar, the speakers will address to the following elements:-

Speaker Profile

Pian joined PwC in 2015 after having worked in an international law firm for over ten years. She serves a wide range of clients including multinational corporations, Chinese enterprises, listed companies, charitable organizations, limited partnership and has extensive experience in corporate compliance works and implementing corporate changes, expansion, simplification and re-organization.

Pian advises on incorporation of Hong Kong companies and offshore companies, registration and deregistration of non-Hong Kong companies under the Companies Ordinance, establishment of liaison office, registration of limited partnership, amendment of articles of association, stamp duty relief, corporate restructuring including change of share capital structure, capital reduction, share repurchase, amalgamation, dissolution and reinstatement of companies etc. She has also worked on various projects on merger and acquisition transactions, restructuring or streamlining of group structure, corporate due diligence for IPO and corporate transactions.

Pian is a Chartered Secretary and Chartered Governance Professional with Fellow memberships of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute respectively.

Lydia has over 10 years of experience in providing corporate secretarial advice and services to listed companies, private companies and offshore companies, ranging from corporate compliance and maintenance, establishment and registration of company, branch and representative office.

She also has experience in handling corporate restructuring projects such as court-free capital reduction, amalgamation, members’ voluntary liquidation and deregistration and has experience in assisting clients to handle transfer of shares and stamp duty relief.

She has been providing corporate secretarial supporting to many local and multinational clients.

Prior to joining PwC in 2020, Lydia was a manager of a leading corporate secretarial service provider overseeing a portfolio of private companies, listed companies and offshore companies.
