Dealmaking and reorganization in Asia Pacific has grown steadily in the past year and the Mergers and Acquisitions (“M&A”) volumes are returning to pre-pandemic levels. In particular, Hong Kong and Mainland China have emerged as prime destinations for M&A activities. If you are considering a deal in this region, it is essential to understand those critical tax issues to ensure a seamless M&A deal.

 

In this webinar, the speakers will address to the following elements:

  • tax implications in asset deals and equity deals in Hong Kong and China;
  • how the refined FSIE regime in Hong Kong may impose additional tax concern in M&A;
  • other tax considerations in group restructuring;
  • common tax issues to consider in SPA negotiations.

Speaker Profile

Karen has over 15 years of professional experience in tax compliance and tax consultancy. Her expertise includes group tax review, tax health check, corporate restructuring, pre-IPO advisory and tax compliance from both Hong Kong and China perspectives. Karen has rich experience in M&A and IPO projects and is also a key member of the transfer pricing (“TP”) team of Mazars in Hong Kong. She provides different TP planning and TP documentation services for MNCs, state-owned enterprises and listed companies.

Grace has around 15 years of professional experience in tax advisory, compliance and cross-border tax planning. She has assisted a wide spectrum of multi-national companies by providing services such as business and tax advisory, structure planning, tax due diligence, tax compliance review, advice during IPO stage, and representing clients in dealing with China tax authorities. She is also experienced in other areas related to doing business in China such as customs, foreign exchange, social security and housing provident fund, etc
